Scrum Star Academy

1. Definition of Terms

This agreement ("Agreement") contains the Terms and Conditions for participation in the Scrum Star Academy Affiliate Program ("Affiliate Program.")

Throughout this Agreement, the terms "you," "your," and "yours" refer to the individual or entity who participates in the Affiliate Program.

The terms "Scrum Star Academy" "we," "us," and "our" refers to the Scrum Star Academy and its parent company, Enicore Solutions (NIP 6793071184, Heweliusza 11-811, 80-890 Gdansk, Poland.)

2. Acceptance of Terms and Conditions

By using the Affiliate Program you agree to comply with all the Terms and Conditions set out in this Affiliate Agreement. If you do not agree with these Terms and Conditions, you must not participate in the Affiliate Program.

3. Participation

By participating in the Affiliate Program you warrant that:

a) You are at least 18 years of age;

b) You have the power and authority to enter into this Agreement on behalf of your organization, if applicable;

c) You are the owner of or are legally entitled to manage a valid and active PayPal account where you will receive Commission payouts.

4. Description of Service

We will provide you with unique affiliate codes ("Affiliate Codes") and hyperlinks that will identify you as a referrer on our website and will track the referred visitors using browser cookies.

The visitors who make a purchase while the cookies are active will be considered your referrals and you will be eligible for a commission on their purchases ("Commission.")

You may advertise your affiliate links in any way, using on-line and off-line media, as long as you do not contravene the terms set out in this Agreement.

5. Privacy

We collect personal information for the purpose of providing you with the Affiliate Program service. We don't sell or make the personal information available to third parties. For more information read our Privacy Policy.

6. Intellectual Property

You are permitted to use the Scrum Star Academy name and logo for the purpose of affiliate marketing, promotion, and advertising. The name and logo cannot be modified. You do not gain any trademark, copyright, or any other rights to these materials.

7. Affiliate Commissions

You will be eligible for a Commission equal to $percentage% of the total price of the product sale made using a browser with an active cookie that is associated with one of your Affiliate Codes.

The browser cookies used to identify your Affiliate Codes on our website expire in $cookieLife days from the time of creation.

A visitor who makes a purchase on our website without an active cookie that identifies your Affiliate Code will not be considered your referral and you will not receive a commission from his or her purchases.

Commissions will only be applied to transactions that have been successfully completed.

If a transaction is refunded, your Commission will be refunded as well. You will not be able to request a payout for refunded transactions.

8. Product Discounts

We reserve the right to discount any of our products at any time. You may enable a $discount% discount on all the products on our website and associate it with any of your Affiliate Codes.

If a product is discounted (either by us, or by your affiliate discount, or by a discount coupon) your Commission on the sales will be calculated from the discounted price.

If a product is discounted by us, your affiliate discounts will further lower the product price by $discount%.

If a visitor uses a valid discount coupon, the discount applied by the coupon will override your Affiliate Code discount.

9. Affiliate Payouts and Fees

Your Commission will be held as pending for $payoutDays days from the time of the sale that generated it. After $payoutDays days the Commission will become available for payout unless the sale that generated it has been refunded.

After requesting a payout, the Commission will be transferred to your PayPal account within 7 days. You will be charged with the PayPal fee associated with transferring the Commission from our PayPal account to yours.

Any Commissions for which you have not requested a payout in 365 days after the payment transaction has been completed will be forfeited.

10. Application

We reserve the right to approve or reject any application to join the Affiliate Program at our sole discretion.

11. Termination

You can terminate this Agreement at any time by discontinuing the use of the Affiliate Program.

We reserve the right to suspend or terminate your affiliate account at any time for any of the following reasons:

a) Using false advertising (deceptive or incomplete information, misleading hyperlinks, false claims, etc.)

b) Spamming (mass newsgroup postings, mass emails, etc.)

c) Posting content that violates the rules of the target websites, forums, or newsgroups.

d) Using materials that infringe on any copyright, trademark, or other intellectual property rights.

c) Implying that you represent or are acting on behalf of Scrum Star Academy.

d) Knowingly acquiring fraudulent customers.

d) Advertising on websites that contain sexually explicit materials, promote violence, discrimination, or illegal activities.

e) Engaging in activities that are in any way harmful to our business, unlawful, threatening, defamatory, harassing, or otherwise objectionable to us.

In addition to the foregoing, we reserve the right to terminate any affiliate account at any time, without any prior notice.

If we choose to terminate your Affiliate account and there are no customer refund claims on the transactions that generated your Commissions, the available Commission balance will be transferred to your PayPal account within 30 days of the termination of your account.

12. Limitation of Liability

The Affiliate Program is provided on an "as is" and "as available" basis and you use the program at your own risk. We make no representations or warranties, either expressed or implied, with respect to the Affiliate Program, or any service or information provided through the Affiliate Program. We make no claim that the operation of the Affiliate Program and our website will be error-free.

We will not be held liable for any direct or indirect damages or economic loss arising from your use of the Affiliate Program; this includes fines, claims, legal fees, expenses, as well as accidental damages due to software errors, hardware failures, or loss of database records.

13. Tax Requirements

You're responsible to pay the income tax on your Commissions according to the laws of your country of residence.

14. Technical Requirements

In order to access the affiliate platform, you must use one of the following Internet browsers:

• Google Chrome version 28 or higher;
• Microsoft Edge;
• Internet Explorer version 10 or higher;
• Mozilla Firefox version 22 or higher;
• Opera version 12 or higher;
• Apple Safari version 5 or higher;

JavaScript support and cookies must be enabled in the browser.

15. General Provisions

This Agreement and all its amendments and modifications will be subject to, interpreted, and enforced in accordance with the laws of the Republic of Poland.

We may modify any of the Terms and Conditions within this Agreement at any time and at our sole discretion. These modifications may include, but are not limited to, changes in the scope of available Commissions, payouts, and discounts.
